Search Envy Terms of Service

Effective Date: October 21, 2025

By accessing or using searchenvy.com (the “Website”) and any related products, applications, or services (collectively, the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use the Service.


Search Envy is a web service provided by Search Envy, LLC (“Search Envy,” “we,” “us,” “our”).

1. Definitions

Account
The Search Envy account you create or that is created for you to access the Service.
User
Any individual who accesses the Service through an Account.
Subscriber
A User who pays for a plan.
User Data
Any data, including personal data, provided to or processed by the Service on your behalf (for example, campaign settings, analytics, Search Console properties, invited user emails, reporting artifacts).
External Supplier
Third-party providers used to operate the Service (for example, cloud hosting, payments, authentication, Google APIs).
Authorized Google Connections
OAuth connections you initiate to Google Ads, Google Analytics, and Google Search Console.
Attributes
The usage limits and features associated with your subscription plan.

2. Description of the Service

Search Envy provides automation and management tools for marketing and analytics platforms. With your authorization, the Service can connect to and operate within your Google Ads, Google Analytics, and Google Search Console properties, including reading data and, where explicitly permitted by you, performing write actions (for example, creating or modifying campaigns, uploading assets, submitting sitemaps, adjusting configurations).

We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable to you for such changes, except as expressly provided in these Terms.

3. Eligibility; Registration

You must be at least sixteen (16) years old to use the Service and have the authority to enter into these Terms. You agree to provide accurate information during registration and to maintain the confidentiality of your credentials. You are responsible for all activity under your Account.

4. Agency/Client Use

If you are an agency or are otherwise connecting client properties, you represent and warrant that you have all necessary rights and authorizations from your clients to grant the Service access (read and/or write) to their properties and data, and to instruct Search Envy to process their data on your behalf.

5. OAuth Permissions; Google Compliance

When you connect Google services via OAuth, you grant Search Envy access only to the scopes you approve. You may revoke access at any time through your Google Account’s security settings.

Search Envy’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. We do not sell Google user data and do not permit human reading of such data except as necessary for security, compliance, or to provide and support the Service as detailed in our Privacy Policy.

6. AI Functionality

The Service may use AI to analyze authorized data and generate recommendations or perform automations. Data used by AI is processed transiently to deliver functionality and is not used to train models. We do not retain user data for AI model training beyond what is necessary to provide the Service, troubleshoot, or comply with legal obligations.

7. Acceptable Use

You agree not to, and not to allow others to:

  • Use the Service in any unlawful, infringing, deceptive, or harmful manner.
  • Interfere with or disrupt the Service or its security measures.
  • Reverse engineer, decompile, or otherwise attempt to derive source code from the Service.
  • Infringe third-party rights, including privacy, publicity, or intellectual property rights.
  • Submit or process data in violation of applicable privacy or data protection laws.
  • Misrepresent your identity or authorization to connect properties.
  • Use the Service to transmit malware, spam, or other harmful content.

8. Availability and Maintenance

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We use commercially reasonable efforts to keep the Service available, excluding planned maintenance and events outside our reasonable control. We may schedule planned maintenance with reasonable notice when practicable.

9. Plans, Billing, and Taxes

Subscriptions may be offered as monthly or annual plans with Attributes that limit usage. By starting a paid plan, you authorize us (or our payment processor) to charge your payment method according to the plan’s fees and renewal periods until you cancel. You are responsible for keeping your billing details current and for any applicable taxes, duties, or government charges.

Invoices: If we mutually agree to invoice terms, invoices are due within thirty (30) days. Late amounts may accrue interest at 1.5% per month (or the maximum rate permitted by law), and you agree to pay reasonable collection costs, including attorneys’ fees.

10. Cancellations, Downgrades, and Refunds

You may cancel at any time from within your Account settings. Unless otherwise required by law or a specific written guarantee, fees are nonrefundable, and your access continues until the end of the current billing period. Downgrades may take effect at the next renewal.

11. User Data and Ownership

As between you and Search Envy, you retain all rights in your User Data. You grant Search Envy and its subprocessors a worldwide, non-exclusive, royalty-free license to use, reproduce, and process User Data solely to provide, maintain, secure, and improve the Service, and as otherwise permitted in these Terms and the Privacy Policy.

You are responsible for the accuracy, quality, and legality of User Data and the means by which you acquired it, including obtaining appropriate consents from data subjects and clients where required by law.

12. Data Protection and Privacy

Search Envy will process personal data in accordance with the Privacy Policy and, where applicable, the Data Processing Addendum (DPA), which is incorporated by reference. If you require a signed DPA, please contact privacy@searchenvy.com.

We implement administrative, technical, and physical safeguards designed to protect User Data. You acknowledge that Internet transmissions and storage systems cannot be guaranteed to be 100% secure.

13. Intellectual Property

The Service, including its software, design, text, graphics, and other content (excluding User Data), is owned by Search Envy and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Service.

Search Envy does not claim ownership of User Data. We will not use your content for any purpose other than providing and improving the Service as permitted by these Terms and the Privacy Policy.

14. Third-Party Services

The Service may integrate with third-party services such as Google Ads, Google Analytics, Google Search Console, Stripe, and AWS. Your use of any third-party service is governed by its own terms and privacy policies. We are not responsible for the acts or omissions of third-party services.

15. Beta, Pre-Release, and Experimental Features

We may designate some features as beta, pre-release, or experimental. Such features may be provided on an as-is basis with limited or no support and may be modified or discontinued at any time.

16. Warranties and Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or meet your requirements.

17. Limitation of Liability

To the maximum extent permitted by law, in no event shall Search Envy be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service shall not exceed the amount paid by you to Search Envy for the Service in the twelve (12) months preceding the event giving rise to the claim.

18. Indemnification

You agree to defend, indemnify, and hold harmless Search Envy and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Data, your violation of these Terms, or your violation of any third-party rights.

19. Suspension and Termination

We may suspend or terminate your access to the Service immediately if we reasonably believe you have violated these Terms, pose a security risk, or are using the Service in a manner that could cause liability for us or others. Upon termination, your right to use the Service ceases, and we may delete or anonymize User Data in accordance with our Privacy Policy and DPA.

20. Compliance and Export

You represent that you are not located in, and will not use the Service from, any jurisdiction embargoed by the United States and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws.

21. Changes to the Terms

We may update these Terms from time to time. We will post the updated Terms on the Website with a revised “Effective Date.” Your continued use of the Service after the updated Terms become effective constitutes acceptance.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The state and federal courts located in Denver, Colorado shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts.

23. Notices

Notices to Search Envy must be sent to legal@searchenvy.com or mailed to: Search Envy, LLC, Attn: Legal, Castle Pines, Colorado, USA. We may provide notices to you via the email associated with your Account or through the Service.

24. DMCA and Intellectual Property Complaints

If you believe content available through the Service infringes your copyright, please email legal@searchenvy.com with:

  • Identification of the copyrighted work you claim has been infringed;
  • Identification of the allegedly infringing material;
  • Your contact information;
  • A statement of good-faith belief that the disputed use is not authorized;
  • A statement, under penalty of perjury, that your notice is accurate and that you are authorized to act on behalf of the owner;
  • Your physical or electronic signature.

25. Miscellaneous

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability: If any provision of these Terms is held invalid, the remaining provisions will remain in effect.

No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Data Processing Addendum, constitute the entire agreement between you and Search Envy regarding the Service.
